Overview

London Capital Investment Partners is an investment structure that offers high net worth individuals and family offices access to attractive co-investment opportunities in unquoted and quoted smaller companies. It also creates a transparent investment process that will enable less experienced investors to learn how to make investments in early stage companies. Regular reports will enable partners to follow the progress of companies after investment.

Structure

  • Two limited partnerships (Trafalgar and Gainsborough) registered at Companies House
  • Investment in companies identified by London Capital Finance Limited (“LCF”)
  • Trafalgar will invest in approx. 20 unquoted early-stage companies.
  • Gainsborough will invest in approx. 20 companies quoted on AIM or Plus Markets.
  • Investment term five years (2012) with liquidation as soon as practicable thereafter.
  • Investment returns paid at liquidation of the partnerships.
  • Both partnerships have 110 partners.
  • One partnership unit per partner.


The structure serves as an effective and timely channel for communication of investment ideas and information to investors. It also creates a legal entity that can develop relationships with companies and corporate brokers. The focus is firmly on co-investment, which allows partners to develop portfolios in accordance with their own criteria and gain the tax benefits of direct investment.
